Direct answer: which audit route applies in d3?
Dubai Design District, commonly called d3, is a design, fashion and creative business community under Dubai Development Authority jurisdiction. Its official FAQ says d3 is a free zone governed by DDA and also supports a dual-licence model: a DDA free-zone licence and a DED or DET mainland licence can operate from the district.
That distinction matters. A DDA-regulated FZLLC or branch follows the applicable DDA company and financial-reporting rules. A mainland-licensed entity must be assessed under its legal form, constitutional documents and the requirements of DET, lenders, shareholders, tax authorities and other users. Do not decide the audit route from the office address alone.

DDA annual financial statement requirement
DDA Circular 421 requires FZLLCs and branch offices within its scope to prepare and submit annual audited financial statements and an annual return. It states an ongoing submission deadline of six months from the financial year-end. A newly registered company submits within six months after its first completed financial year.
The circular identifies submission through the AXS portal with the Financial Statements Report Summary Sheet. Verify the live portal instructions, authorised requester, required forms and current status for the specific entity before relying on an old checklist.
- Confirm the licensed legal entity, licence type, financial year and reporting framework.
- Set internal dates for closing entries, evidence, audit questions, directors’ approval and AXS submission.
- Retain the signed statements, auditor’s report, summary sheet and submission confirmation.
How to appoint or change the auditor
DDA’s current Appoint Auditor service lists a director or directors’ resolution, a valid copy of the audit firm’s UAE trade licence and the auditor’s corporate Registry Identification Code form. The requester is the general manager or appointed legal representative, and the service page gives an estimated delivery time of seven working days.
We did not locate a current public d3-specific approved-auditor directory in the official sources reviewed. Search results contain many firms describing themselves as “d3 approved”, but the safer verification is the audit firm’s UAE professional status, independence and acceptance through the current DDA or AXS appointment process for the entity.

Define the creative business model
A d3 business may combine design consultancy, architecture, branding, advertising, fashion, product design, photography, art, events, retail, e-commerce, licensing or a regional group office. Map each material revenue stream and identify which legal entity contracts, delivers, invoices, collects cash and owns intellectual property.
The audit file should connect contracts and operational evidence to the closing ledger. A portfolio, campaign or event can demonstrate activity, but it does not by itself establish the reporting period, amount earned, principal-versus-agent presentation or recoverability of the balance.
Retainers, milestones and project revenue
Prepare a contract register showing the customer, service, period, price, retainer, milestone, variation, acceptance terms, invoice, receipt and closing balance. Reconcile it to project-management systems, customer statements and the general ledger.
For retainers and advances, document what has been delivered by year-end and what remains outstanding. For milestone work, retain approved briefs, deliverables, change orders and customer acceptance. Separate receivables, accrued income, contract assets and contract liabilities under the applicable reporting framework.
Media buying, production and pass-through costs
Creative agencies may pay media owners, production houses, talent, printers, venues, travel providers or digital platforms on behalf of clients. Determine whether the company controls the promised service before transfer or acts as an agent. The assessment affects whether revenue and cost are shown gross or net.
Keep the customer agreement, supplier agreement, approvals, invoices, proof of delivery and reconciliation for each material pass-through category. Do not net amounts merely because the customer ultimately funds the expenditure.
Work in progress and project profitability
For incomplete projects, reconcile approved budgets, staff time, external suppliers, committed costs, progress, customer changes and expected remaining work. Investigate old, paused or loss-making projects and compare estimates with later outcomes.
Separate financial-statement audit from a project-performance review. The audit tests the reported amounts and disclosures; it does not certify the commercial success, creativity or quality of the design work.
Intellectual property, licences and royalties
List material trademarks, designs, software, images, music, fonts, artwork, patterns and other rights used or created. Retain contracts showing ownership, territory, period, exclusivity, permitted use, minimum guarantees, royalty bases and termination terms.
Support royalty income and expense with statements, source sales or usage data, calculations, invoices and settlements. Assess development expenditure, acquired rights, useful lives and impairment indicators under the applicable accounting framework rather than capitalising every creative cost.
Fashion, showroom and e-commerce inventory
Fashion and product businesses should identify samples, raw materials, work in progress, finished goods, consignment stock, customer returns and goods held by fulfilment providers. Maintain item, location, ownership, condition and unit-cost data.
Plan controlled counts and reconcile differences to the inventory system and ledger. Assess markdowns, seasonality, damage, ageing, discontinued lines and net realisable value. For e-commerce, reconcile orders, dispatch, payment gateways, returns, refunds, platform fees and inventory movements.
Events, pop-ups and temporary activations
For events and activations, reconcile sponsorship, ticketing, exhibitor or participation income, deposits, venue and supplier commitments, production costs and post-event settlements. Document cancellation, refund and variable-fee terms.
Cash floats, complimentary items, samples and stock moved to temporary locations require clear custody records and cut-off. A completed event does not remove the need to accrue unresolved supplier costs or assess customer disputes.
Branches, groups and related parties
Circular 421 allows a branch to submit consolidated audited parent-company statements or a standalone extract covering the branch operation. Confirm the accepted route, reporting period and local information before the parent timetable is fixed.
For group services, royalties, shared employees, regional campaigns, technology, financing or cost allocations, retain agreements, functional analysis, source cost pools, allocation keys, mark-ups, calculations and both sides of material balances. Transfer-pricing benchmarking does not replace evidence of the actual transaction.

Corporate tax and the free-zone position
A d3 free-zone licence does not automatically make every amount eligible for a 0% Corporate tax rate. The position depends on the taxable person, activities, income, transactions, substance and satisfaction of the applicable Corporate tax conditions. A mainland dual-licence arrangement also requires entity-specific analysis.
Use approved financial statements as the starting point for the tax computation and reconcile adjustments. Corporate tax, VAT, customs, payroll and DDA reporting have different purposes and deadlines; completing one does not automatically complete the others.

Clear answers
Frequently asked questions
Is Dubai Design District (d3) a free zone?
Yes. The official d3 FAQ says it is a free zone governed by DDA. It also describes a dual-licence model involving a DDA free-zone licence and a DED or DET mainland licence, so confirm the actual entity before applying a reporting route.
Does a d3 free-zone company need annual audited financial statements?
DDA Circular 421 requires FZLLCs and branch offices within its scope to prepare and submit annual audited financial statements and an annual return. Confirm the entity and current portal instructions.
When are d3 audited financial statements due?
Circular 421 states an ongoing deadline of six months from financial year-end. A newly registered company submits within six months after its first completed financial year.
Is there a public d3 approved auditors list?
We did not find a current public d3-specific auditor directory in the official sources reviewed. Verify UAE professional credentials, independence and current acceptance through DDA or AXS for the entity instead of relying only on an online label.
What is needed to appoint a d3 auditor?
DDA’s Appoint Auditor service lists a directors’ resolution, the audit firm’s valid UAE trade licence and its corporate RICC form. The general manager or appointed legal representative makes the request.
What should a creative agency prepare for audit?
Prepare contracts, project and milestone schedules, delivery evidence, media and production costs, customer advances, receivables, supplier balances, payroll, IP agreements, tax reconciliations and group transactions.
Can a d3 branch use parent-company accounts?
Circular 421 permits a branch route using consolidated audited parent statements or a standalone extract of branch operations. Confirm the accepted route and maintain reconciled local records.
Does a d3 licence guarantee 0% Corporate tax?
No. The tax position depends on the entity, activities, income, transactions and satisfaction of the statutory conditions. A free-zone address or audit report does not by itself establish the rate.
