Salary Benchmarking in Dubai for Owners & Directors

Support the remuneration paid for a real role—not just a job title. SAIF Chartered Accountants helps UAE businesses assess owner, director and officer pay using relevant market evidence and a documented Corporate tax analysis.

This is a tax-focused review. It is not a workforce-wide HR salary survey or an FTA-issued certificate.

What people mean by “salary benchmarking”

One phrase. Two different decisions.

A recruiter may compare salaries to help an employer hire and retain staff. A Corporate tax remuneration review asks whether a payment to a potentially Connected Person reflects the market value of the work actually done.

SAIF’s scope here is the second question. It may involve an owner-manager’s salary, directors’ fees, executive bonuses or benefits. We first check who received the payment, which entity incurred it, and what work or benefit the company received. Only then do we choose market evidence.

If your question is instead about general employee pay bands, organisation-wide grading or recruitment-market surveys, tell us that at the outset so the right HR scope can be agreed. For wider company-performance comparisons, see financial consultancy.

The UAE Corporate tax test

Market value and business purpose—not a magic number.

Article 36 and the FTA guidance must be applied to the entity and payment in question, including any statutory exception.

01 / Person

Who is connected?

An owner, director, officer or their Related Party may be a Connected Person. Review ownership and actual authority. The FTA’s 2026 clarification warns against treating the word “director” in a job title as conclusive.

02 / Payment

What is the full package?

Review salary, director fees, bonus, allowances and benefits together with the payroll, agreements, accounting entries and approvals. Separate remuneration for services from ownership returns and other transactions.

03 / Deduction

What is supportable?

Where Article 36 applies, the deduction is limited to the market value of the service or benefit and must be wholly and exclusively for the business. Check whether a statutory exception applies before drawing a conclusion.

AED 500,000 is a reporting test—not a pay limit.

The FTA return guide uses this amount for the Connected Persons schedule. It does not make a smaller payment automatically deductible or a larger payment automatically non-deductible. Assess market value and any return adjustment separately.

How the review works

Start with the role. Then test the pay.

There is no single correct market salary for every “managing director” in Dubai. Sector, company size, decision-making authority, time commitment and the full reward package can materially change the comparison.

  1. 01

    Identify the relationship

Confirm ownership, board role, officer authority and related individuals. A job title alone does not settle Connected Person status.

  2. 02

    Describe the actual work

Record duties, responsibility, decision-making authority, time commitment, business scale and any roles across other entities.

  3. 03

    Reconcile total remuneration

Bring together salary, director fees, bonus, allowances and benefits for the relevant Tax Period. Trace amounts to payroll, accounts and approvals.

  4. 04

    Assess market evidence

Choose suitable UAE or other relevant data, explain role matching and limitations, then document the conclusion and any return implications.

When to ask for a review

Four situations where the detail matters.

A high payment is not automatically excessive, and a modest payment is not automatically supported. The starting point is the relationship, the service and the records behind the amount.

01

Owner-managed company

A shareholder or founder draws salary from a separate UAE company and also makes the decisions on the amount. The work performed, authority and approval trail need to be clear.

02

Director fees and executive bonuses

The package includes board fees, a year-end bonus or allowances beyond monthly payroll. Compare the complete reward for the actual role and period, not the base salary alone.

03

Relatives on the payroll

A family member provides genuine services but is related to the owner or management. Record the duties, time spent and business benefit before selecting market evidence.

04

Several group entities

One executive works for multiple UAE or overseas companies. Reconcile which entity receives the services, pays the individual and bears any recharge.

The review can be commissioned before setting a new package, during year-end Corporate tax preparation or when existing remuneration needs a better evidence file. It does not replace payroll, employment or company-law advice where those are separately required.

How market evidence is selected

Why a Dubai salary average is not enough.

Published salary guides answer a broad recruitment question. An owner or director remuneration study needs a closer comparison: what would an independent business pay for similar responsibilities, under reasonably similar circumstances?

We agree the evidence sources for the scope—reliable internal information, published UAE compensation research and specialist data where available. We document why observations are included or rejected. A narrow or mixed-quality sample is described honestly; it is not presented as a precise market rate.

The FTA’s Transfer pricing Guide explains comparability, internal and external data, and the importance of an audit trail. The exact method for a remuneration review should fit the payment and available evidence rather than assume every study needs the same statistical range.

01

Role and authority

Match the functions performed, board or officer authority, reporting level and decision-making responsibility—not only the job title.

02

Business context

Consider sector, turnover or scale, team size, complexity, emirate and whether the position is full-time or part-time.

03

Complete reward

Compare annual base pay together with fees, incentives, housing or transport allowances and other material benefits on a consistent basis.

04

Source quality

Record the date, geography, sample, definitions and limitations of each salary guide, internal comparator or specialist data source used.

05

Reasoned conclusion

Explain exclusions, any adjustments, the market range and how the actual payment sits against it. A single published average is not a conclusion.

Owner-manager example

What if one person wears several hats?

Imagine an owner who manages sales, approves budgets and serves as a director, while receiving salary and a year-end bonus. A generic CEO salary figure would miss the actual work, company scale and time spent across group entities.

We would map the duties and payment components, test relevant role evidence, identify any costs borne by another company and explain the assumptions. The result is a documented position—not a guaranteed deduction or a suggested universal salary.

Before requesting a proposal

What records help us scope the work?

A short, accurate brief is more useful than sending confidential payroll files through an open contact form. We will agree a secure exchange route.

Person and role

  • Ownership structure and board or officer appointments
  • Job descriptions, reporting lines and actual duties
  • Qualifications, experience and time spent for each entity

Payments and business

  • Contracts, payroll and director-fee approvals
  • Salary, bonus, allowances and benefits by Tax Period
  • Entity activity, size, accounts and relevant group charges

Existing support

  • Prior remuneration studies or market data
  • Corporate tax return and Connected Persons disclosures
  • Any FTA correspondence or filing deadline

What you receive

A conclusion your finance team can follow.

The agreed output explains the person and role assessed, payment components, market-evidence sources, comparison method, material assumptions and limits, and any points to reconcile with the tax computation. We identify whether the engagement is a preliminary review, a full documented comparison, or part of wider transfer-pricing documentation.

We quote by company profile and scope; we do not promise a fixed fee or FTA acceptance before reviewing the facts.

From evidence to filing

What changes in the Corporate tax return?

The remuneration study is not a separate FTA filing. Its conclusion should reconcile with the company’s accounts, tax computation and any Connected Persons disclosures required for the Tax Period.

01 / Reconcile

Accounts and payroll

Match payments and accruals to the general ledger, contracts, benefits schedules and the legal entity that bears each cost. Identify amounts that are distributions or other transactions rather than remuneration for services.

02 / Assess

Market-value adjustment

Where Article 36 applies, compare the actual payment with the supported market value and business purpose. If a tax adjustment is needed, document its calculation and review the return field separately from any disclosure threshold.

03 / Disclose

Connected Persons schedule

The FTA’s return guide sets out the AED 500,000 reporting test for payments or benefits to a Connected Person together with their Related Parties. The threshold determines whether the schedule is completed; it is not permission to skip the underlying market-value test.

The FTA’s Tax Returns Guide explains the adjustment field and Connected Persons schedule. Its Determination of Taxable Income Guide includes an executive director-shareholder salary example. If Small Business Relief is relevant, check the FTA’s separate relief guidance rather than assuming it makes owner remuneration irrelevant.

Frequently asked questions

Salary benchmarking, answered plainly.

General information for UAE businesses. A specific deduction or disclosure conclusion requires review of your own facts and Tax Period.

01What is salary benchmarking for UAE Corporate tax?

It is a role-based market-value assessment of remuneration paid to an owner, director, officer or another potentially Connected Person. It supports a documented view of the payment for the actual services provided. It is different from setting HR pay bands for all employees.

02Is a salary benchmarking report mandatory for every Dubai company?

No law imposes a universal external salary-benchmarking report or an FTA certificate for every company. Where Article 36 applies, the business needs a supportable basis for the market value and business purpose of the payment. The evidence and depth of analysis should fit the facts and risk.

03Can a business owner deduct their own salary?

Potentially. The FTA General Corporate tax Guide gives an owner-salary example: the deduction is limited to the market value of the service or benefit and must meet the business-purpose condition, subject to applicable exceptions. Payroll processing alone does not establish the amount that is deductible.

04Does the AED 500,000 threshold mean salaries below it are automatically deductible?

No. The AED 500,000 amount is used for the Connected Persons schedule in the Corporate tax return. It is not a salary cap, safe harbour, or automatic deduction. Consider the underlying Article 36 test and any applicable exception separately.

05Is every employee with “director” in their title a Connected Person?

No. The FTA’s CTP010 clarification explains that the label alone does not make someone a director for this purpose. Actual board status or substantive officer authority matters. An owner can be a Connected Person independently of the job title.

06Which payments should a remuneration review consider?

Start with the full package and relevant records: salary, fees, bonuses, allowances and benefits. Identify which legal entity bears each cost, the service received and the period to which the amount relates. The exact items depend on the contract, payroll and accounts.

07Can a general Dubai salary guide prove market value?

A salary guide may be useful background, but a headline figure rarely matches the exact role, seniority, business size, sector, responsibilities and total package. A tax-focused review should explain the selected comparables, adjustments and limitations rather than present one average as proof.

08What if the owner works for more than one group company?

Map the work actually performed for each entity and how the remuneration is charged or allocated. Consider employment arrangements, management fees and intercompany records together. A benchmark for one role does not automatically justify every group charge.

09Do free-zone companies need to assess owner or director pay?

A free-zone licence does not itself remove the business from UAE Corporate tax or resolve Connected Person payments. The company’s tax status, person receiving the payment, applicable Article 36 exceptions and actual circumstances need assessment.

10How much does salary benchmarking cost and how long does it take?

We quote after reviewing the number of people and entities, role complexity, package components, available evidence and the period under review. A written proposal should state whether the work is an initial assessment, a documented market comparison or part of wider transfer-pricing and return support.

11Can I pay myself a salary from my own company in the UAE?

The legal form matters. A separate company paying an owner for genuine services is different from a natural person taking drawings from a business carried on in their own name. Review the contract, actual duties, approvals, accounting entries and applicable Corporate tax treatment before treating an amount as salary.

12Does the FTA issue or require a salary benchmarking certificate?

There is no universal FTA-issued salary benchmarking certificate. The relevant legal question is whether a Connected Person payment meets the market-value and business-purpose tests where Article 36 applies. A written study is one way to organise evidence, with scope proportionate to the facts.

13Are a director fee and an employee salary assessed together?

First identify what each payment compensates and which entity incurs it. Then review the total remuneration package for the relevant role and Tax Period so that the same work is not counted twice or compared against an incomplete market figure.

14When should a salary benchmark be updated?

There is no universal annual renewal date for a market study. Revisit the evidence when duties, working time, entity structure, remuneration, business scale or relevant market conditions change materially, and reconcile the conclusion before the Corporate tax return is finalised.

15Does Small Business Relief remove the need to consider owner remuneration?

The FTA explains that an eligible Small Business Relief election removes formal transfer-pricing documentation for that Tax Period, while the arm’s-length principle still applies. The need for a separate remuneration study should be assessed against the company’s facts, future periods and the records already available.

16What is a reasonable director salary in Dubai?

There is no official Dubai salary amount that suits every director. A reasonable market comparison depends on the actual duties, authority, working time, sector, business size and complete package. A public salary-guide figure is a starting data point, not a tax conclusion.

17Must a salary benchmarking study be attached to the Corporate tax return?

A standalone remuneration study is not a standard attachment to every Corporate tax return. The company should retain the analysis and supporting records for its tax position and complete any applicable return adjustment or Connected Persons schedule. Specific FTA requests must be handled on their own terms.
