Corporate tax Group Registration in the UAE

A UAE parent and its eligible subsidiaries may be taxed as one group—but the 95% test covers more than shares. SAIF helps Dubai and UAE businesses assess the legal rights, model the tax effect and prepare a supported FTA application.

The short answer

One Taxable Person for Corporate tax, not one company.

An approved UAE Corporate tax Group allows a qualifying parent and one or more subsidiaries to be treated as a single Taxable Person. The parent represents the group, calculates its consolidated taxable income and files one Corporate tax return. Each member still exists as a separate company with its own commercial records and obligations.

This is a choice with conditions, not an automatic result of shared ownership. The group must meet the legal, tax-status, ownership, financial-year and accounting-standard tests. An existing VAT group is a separate registration and does not create a Corporate tax Group.

Before applying, compare the expected reduction in administration with the cost of group calculations, restricted pre-group losses, changes in ownership and the requirement for audited special-purpose group financial statements for periods commencing from 1 January 2025.

Eligibility is cumulative

What are the UAE Corporate tax Group requirements?

We test each proposed member and the links between them. A headline share percentage is not enough if voting or economic rights differ.

01

Legal persons and residence

The parent and each proposed subsidiary must be eligible UAE Resident juridical persons. A branch is not a second company simply because it has its own licence.

02

95% of four rights

The parent must directly or indirectly hold at least 95% of share capital, voting rights, entitlement to profits and entitlement to net assets. Check each right separately.

03

Tax status

A proposed member cannot be an Exempt Person or remain a Qualifying Free Zone Person. A free-zone company needs a specific status review; its address alone does not settle eligibility.

04

Aligned periods and standards

Members need the same financial year and accounting standards. IFRS and IFRS for SMEs are not automatically treated as the same standard for this test.

Check the rights, not only the licence.

Options, different share classes, shareholder agreements or a profit allocation can change the result. The parent must satisfy the four 95% tests throughout the relevant membership period. The FTA Tax Groups guide provides examples of direct and indirect interests.

An ownership map to test

How does a parent–subsidiary Tax Group fit together?

Start with a dated diagram, then verify the share capital, votes, profits and net-asset entitlement behind every line.

The percentages show a simple ownership example, not an approval. Both subsidiaries must independently meet every other condition. A 95% legal shareholding with only 90% voting rights would fail the standard test.

01

Mainland parent + free-zone subsidiary

Check whether the free-zone company is a Qualifying Free Zone Person. A QFZP cannot remain in a Corporate tax Group while retaining that status; a non-QFZP free-zone company requires the same full eligibility analysis as any other subsidiary. Review QFZP status →

02

Existing VAT group

VAT grouping has different control, establishment and reporting rules. The VAT group’s one TRN and one VAT return do not settle Corporate tax grouping or its 95% tests. Compare VAT grouping →

03

New investor or subsidiary disposal

Trace the date that ownership or rights changed, then reassess ongoing eligibility, amendments and the subsidiary’s separate Tax Period and return position. Do not wait until year-end if the test is broken.

Decide on the whole tax position

Corporate tax Group or separate company returns?

One group return can simplify filing, but grouping does not make every historic loss usable or remove the need for member-level books.

The optimum choice depends on transactions, ownership stability, accounting readiness and the expected tax result. It is not decided by the number of returns alone.

Accounting and 2025 audit rule

Prepare one defensible group result from separate ledgers.

Every member needs a reliable trial balance and identifiable transactions. The parent combines the relevant financial data, eliminates permitted intragroup transactions and balances, documents adjustments and reconciles the result to the group Corporate tax return. Shareholder charts do not substitute for accounts.

For Tax Periods commencing on or after 1 January 2025, Ministerial Decision No. 84 of 2025 requires all Corporate tax Groups to prepare and maintain audited special-purpose financial statements. The earlier AED 50 million group threshold applied to the preceding regime. The FTA CTP007 clarification explains the transition and says individual members do not need standalone audits solely under this Corporate tax group rule; a licensing authority, lender or other law may still require them.

Our audit team and accounting team can be scoped for the relevant work, subject to applicable independence requirements. The parent must retain the consolidation schedules and underlying member records for FTA review.

From assessment to FTA approval

How do you register a Corporate tax Group?

The parent and every proposed subsidiary apply jointly. According to the FTA guide, each member should have its own Corporate tax TRN first, and the application should be submitted before the end of the Tax Period in which the group is intended to begin. The FTA sets the effective period and issues a separate group TRN upon approval.

Prepare the ownership evidence, accounting information and authorised approvals before using EmaraTax. A submitted request is not a valid group registration until the FTA approves it. Check the current portal and authority guidance before filing: later decisions have amended parts of the earlier guide.

Once approved, update the filing calendar, group calculation, group audit timetable and any member-change controls. If a subsidiary enters or leaves, reconcile the effective date, its pre- and post-membership returns, tax attributes and evidence trail.

  1. 01

    Map the group

List the legal entities, incorporation and residence position, licences, individual Corporate tax TRNs and direct or indirect owners.

  2. 02

    Test and document the rights

Trace the four 95% rights through share registers, constitutional documents and any agreements affecting votes, profit or net assets.

  3. 03

    Model the tax result

Compare separate returns with a group return. Examine pre-group losses, intercompany balances, financing, reliefs and any free-zone or VAT-group position.

  4. 04

    Prepare the FTA application

Align financial years and accounting policies, obtain the parent and subsidiaries’ approvals and submit the joint request through the applicable FTA process before the requested period ends.

  5. 05

    Run the reporting cycle

From the approved effective period, prepare aggregate records, permitted eliminations, special-purpose group financial statements, audit and the parent’s Corporate tax return.

Questions to model early

Common reasons a group plan needs more work.

Group formation is often straightforward only on the organisation chart. Tax and accounting details can change whether it is available or worthwhile.

Old losses and reliefs

Trace each loss to its company and period. Pre-grouping losses do not become freely available to all members; assess the applicable restriction and any later use before forecasting group tax.

Intercompany charges and assets

Identify management fees, loans, goods, property and assets transferred between members. Test consolidation adjustments and exceptions. Preserve agreements and transfer-pricing evidence where relevant.

Small Business Relief

Do not test each member’s revenue independently and then assume the group qualifies. Assess relief at the group Taxable Person level and check the relevant Tax Period and elections.

Changes after approval

A new investor, merger, disposal, year-end change or free-zone status change can affect the tests. Assign an owner to monitor the four 95% rights and notify the tax team promptly.

These are general answers from published FTA and Ministry of Finance material. Review the actual ownership documents, periods and later amendments before acting.

Ask about your structure →
01What is a Corporate tax Group in the UAE?

It is an FTA-approved arrangement in which an eligible parent and subsidiaries are treated as one Taxable Person for UAE Corporate tax. The parent represents the group, prepares the group calculation and files its Corporate tax return. The companies remain separate legal entities.

02What is the 95% ownership rule for a UAE Tax Group?

The parent must directly or indirectly own at least 95% of each subsidiary’s share capital and voting rights and be entitled to at least 95% of its profits and net assets. All four tests matter; a 95% shareholding by itself is not the full test.

03Can a 90%-owned subsidiary join?

Not under the standard 95% rule. Assess indirect holdings and the actual legal rights before concluding, but do not assume common management or a controlling interest below the threshold is enough.

04Do companies need Corporate tax registration before applying as a group?

The FTA Tax Groups guide says the parent and subsidiaries must first have individual Corporate tax Tax Registration Numbers. The approved group then receives a separate group TRN.

05Is a VAT group automatically a Corporate tax Group?

No. The taxes have different eligibility tests, applications, TRNs, returns and consequences. Existing VAT-group membership may be useful background information but does not approve a Corporate tax Group.

06Can a free-zone company be included?

A company that remains a Qualifying Free Zone Person cannot be a member of a Corporate tax Group. A free-zone company that is not a QFZP may need a closer review of residence, tax status, ownership and all other conditions. Do not infer the answer from the licence alone.

07Can a branch join as a subsidiary?

A branch is usually part of its head-office legal person, not another juridical person. Identify the actual taxpayer and branch position first; an additional licence does not create a second group member.

08Must group companies use the same year-end?

Yes. The proposed members must have the same financial year and prepare their financial statements using the same accounting standards. Plan any permitted year-end or accounting-policy changes before requesting a grouping date.

09When must the Corporate tax Group application be made?

The FTA guide says the joint application should be submitted before the end of the Tax Period for which grouping is requested. The FTA determines the effective period and may specify a different one; filing an application is not approval.

10Does the group file one Corporate tax return?

Yes, after approval the parent files one return for the Tax Group as one Taxable Person. The parent needs the reconciled financial and tax information of every member, including any adjustments and supporting schedules.

11Do all Corporate tax Groups now need audited accounts?

For Tax Periods commencing on or after 1 January 2025, Ministerial Decision No. 84 of 2025 requires a Corporate tax Group to prepare and maintain audited special-purpose financial statements. The FTA’s CTP007 clarification explains the transition from the earlier AED 50 million threshold. Other company-law or free-zone audit duties can still apply to individual members.

12Are transactions between group members ignored?

Intragroup transactions and balances are generally eliminated in calculating the group result, but the Corporate tax rules contain exceptions and specific treatment for assets, liabilities and prior adjustments. Preserve member-level records and examine transfer-pricing issues where relevant. VAT treatment remains a separate question.

13Can losses from before the group was formed be used anywhere in the group?

No blanket pooling should be assumed. Pre-grouping losses and later transfers are subject to restrictions and tracing rules. Model the origin and permitted use of each loss before estimating the benefit of grouping.

14Does a Tax Group automatically qualify for Small Business Relief?

No. Relief conditions must be assessed for the group as one Taxable Person where applicable. Do not apply the revenue threshold separately to each member and then assume the group qualifies.

15What happens if an ownership change breaks the 95% test?

Review the effective date immediately. A disposal, new investor or change in rights may end a member’s eligibility and require an FTA group amendment or separate reporting. The historic group periods, losses and filings also need review.

16What documents should we prepare?

Start with licences and individual Corporate tax TRNs, a dated ownership chart, constitutional documents, evidence of voting/profit/net-asset rights, financial year and accounting policy details, financial statements, intercompany balances and authorised approvals. The exact portal evidence depends on the application.

17Can SAIF help with both registration and the annual group return?

Yes. We can scope an eligibility and impact assessment, support the joint application, coordinate group financial information and audit work, and prepare the return and FTA responses under a defined engagement. The FTA makes the grouping decision.
