Business closure or liquidation
Establish when the juridical person ceased its business, was dissolved, liquidated or ceased to exist. A cancelled licence is supporting evidence, not the entire tax analysis.
Company closure · final returns · FTA application
Closing a business does not automatically close its tax file. SAIF Chartered Accountants helps businesses identify the deregistration event, organise final accounts and returns, and prepare the EmaraTax application with the right evidence.

Direct answer
It is the Federal Tax Authority process for ending a taxable person’s UAE Corporate tax registration after a qualifying event, such as cessation, dissolution, liquidation, merger or another applicable change. The application is made in the registered person’s EmaraTax account. The FTA checks the reason and documents; outstanding returns and liabilities must be dealt with before completion.
Three records may need closing, each with its own authority: the trade licence, the Corporate tax registration and, where applicable, the VAT registration. See our separate company liquidation and VAT deregistration guides.
The correct reason matters
Do not select “closure” just because the licence has expired or the latest return is nil. The FTA’s service lists several distinct reasons; identify the legal person and the event that changed its taxable status.
Establish when the juridical person ceased its business, was dissolved, liquidated or ceased to exist. A cancelled licence is supporting evidence, not the entire tax analysis.
A merger, sale of business, re-domiciliation, change of effective management or closure of a UAE permanent establishment may require a different application reason and documents.
A duplicate Corporate tax TRN or other valid registration-status issue needs the correct FTA route and proof. An inactive or low-revenue company is not automatically deregistered.
The FTA’s first-tax-period clarification explicitly says an expired or missing licence does not, by itself, constitute cessation of business. It also explains that a company closing during its first Corporate tax period may still need to register, file and then deregister.

FTA Decision No. 6 of 2023 sets a three-month application period for a juridical person after cessation, dissolution, liquidation or another relevant event. It also sets three months from cessation for a natural person.
The FTA service card currently estimates 40 working days from receiving a complete application. A further information request can add time; after resubmission, the FTA may take up to another 40 working days.
The service card says an application may be rejected if it is not resubmitted within 60 calendar days of the FTA’s request. Assign an owner to monitor the EmaraTax account.

A controlled close
SAIF can scope the tax-accounting and application work together, or support an existing finance and legal team. We define who supplies the facts, who approves the tax position and who will monitor FTA correspondence.
Check the legal entity or natural person, Corporate tax TRN, tax periods, licence and any related branch, tax-group or free-zone position.
Document the cessation, liquidation, merger or other actual trigger. Calculate the application window from that event, not from a convenient later paperwork date.
Prepare financial statements and the tax computation for outstanding periods. Resolve related-party balances, asset disposals, losses, elections and any final-period adjustments.
Choose the appropriate reason, upload the FTA’s supporting documents, submit through the registered account and respond to any information request.
File all relevant returns, pay Corporate tax and penalties due, record the FTA decision and retain the accounts, correspondence and deregistration confirmation.

Evidence matched to the reason
The FTA asks for different documents for liquidation, business closure, sale, merger, re-domiciliation, duplicate TRN, change of effective management and closure of a permanent establishment. Its current service card lists a licence-cancellation document and financial statements through the cancellation date for ordinary closure and liquidation cases.
A merger can need a merger agreement and accounts through the merger date. A business sale can need the sale agreement, amended or cancelled licence and relevant accounts. Check the FTA table for the selected reason instead of sending a generic bundle.
The tax close is not just a form
A Corporate tax deregistration application is not a substitute for the returns relating to tax periods before the business ceased. The FTA’s registration guide illustrates a company that applied immediately after cessation but still had to file its final-period return and pay tax due before the FTA approved deregistration.
Corporate tax returns and payments are generally due within nine months of the relevant tax period end, subject to the person’s actual period and any applicable FTA direction. Do not apply the VAT final-return rule of 28 days to Corporate tax. Our Corporate tax return page explains the return preparation work in more detail.
Trace revenue, expenses, assets, financing, related-party balances and tax adjustments through the closing date. The application, financial statements and final return should describe the same legal entity and event.
A tax loss, 0% free-zone position or no tax payable does not automatically remove a return-filing obligation.
Different structures, different questions
These cases need the taxable person identified before the application reason or deadline can be applied.
Free-zone status or a potential 0% rate does not remove registration and return duties. Coordinate the FTA tax close with the free-zone licensing process and check QFZP matters in the last tax period.
Closing one activity may not end all business activity. The FTA says a registered natural person should not deregister solely because subsequent turnover fell below AED 1 million while business continues.
Check whether the registered taxable person continues through other members, branches or activities. An entity’s local closure is not automatically cancellation of the group or head-office tax record.
Questions businesses ask
These answers are general. The applicable event, tax period and FTA requirements must be checked against your company’s own records.
Confirm that the taxable person has a valid deregistration event, determine its date and outstanding tax periods, then submit a Corporate tax deregistration application in EmaraTax with the documents for that reason. The FTA reviews the application, and relevant returns and liabilities must be dealt with before completion.
FTA Decision No. 6 of 2023 says a juridical person must apply within three months of ceasing to exist, cessation of business, dissolution, liquidation or another relevant event. It also specifies three months from cessation of the business or business activity for a natural person. Establish the specific trigger for your case.
No. Licensing and Corporate tax are separate authority records. The FTA’s first-tax-period clarification also says that licence expiry or the absence of a valid licence alone does not constitute cessation of business. Assess the actual event and submit the tax application separately.
Possibly. No sales or nil tax does not by itself end registration or filing obligations. Check whether the taxable person has actually ceased, which periods are open, whether a nil or loss return is due and whether the FTA requires further information.
The FTA’s first-tax-period clarification says cessation during the first tax period does not remove the obligation to register. It also requires a deregistration application within three months of the triggering event. A business that ceased before its first tax period can have a different result, so dates must be checked.
A taxable person generally files its Corporate tax return and pays the tax due within nine months from the end of the relevant tax period, subject to applicable FTA directions. Deregistration still requires all relevant returns and outstanding tax liabilities to be resolved. Confirm the final period shown in EmaraTax rather than borrowing the 28-day VAT final-return rule.
The Corporate tax Law and FTA guidance require tax compliance obligations, including relevant returns and tax and penalty liabilities, to be satisfied before deregistration is completed. An application acknowledgement is not confirmation of final approval.
For closure or liquidation, the FTA service card lists a licence-cancellation document and financial statements through the cancellation date. Sale, merger, re-domiciliation, duplicate registration, permanent-establishment closure and changes in effective management have different document lists. Check the current service card for the selected reason.
The FTA currently publishes a 40-working-day processing estimate from receipt of a completed application. If extra information is requested, the FTA may take up to another 40 working days after the updated application. This is an authority estimate, not a guaranteed decision date.
The current Corporate tax deregistration service card says an application may be rejected if it is not resubmitted within 60 calendar days of an FTA information request. Record the notice date, assign a response owner and retain the resubmission evidence.
The FTA lists the government service as free of charge. Professional fees for reviewing accounts, calculating a final tax position, preparing returns and supporting the application depend on the work required and are quoted separately.
A qualifying free-zone entity is still within the Corporate tax system. A free-zone company that closes or undergoes another qualifying event should assess deregistration, final returns and its licensing procedure separately. Do not assume a 0% rate, free-zone licence expiry or cancellation automatically closes its FTA record.
Not necessarily. Determine which taxable person is registered and whether the UAE branch, head office or permanent establishment has ceased while the wider person continues. The FTA service card has a separate permanent-establishment closure reason.
No. Each tax has its own registration, application grounds, deadline and final return. A company closure may create both workstreams, but the VAT decision does not complete the Corporate tax application and vice versa.
The FTA’s natural-person bulletin says a registered natural person whose turnover later falls below AED 1 million should not deregister solely for that reason while business activity continues. The person generally retains the TRN and files the applicable return; cessation is a separate matter.
SAIF can assess the fact pattern, help organise financial statements and tax computations, prepare an agreed EmaraTax application and coordinate relevant return work. Scope, access, management approvals and any separate liquidation or audit engagement are confirmed in the proposal. FTA acceptance cannot be guaranteed.
