Book a free 30-minute initial transfer pricing discussionClear, defensible pricing
UAE transfer pricing is more than a year-end disclosure.
Transactions between related businesses should reflect the value that independent parties would agree under comparable circumstances.
That principle can affect management fees, intercompany loans, guarantees, goods, intellectual property, shared services, cost allocations and other controlled transactions. A defensible position connects the commercial facts, contracts, accounting entries and economic analysis—not merely a report prepared after the event.
SAIF Chartered Accountants supports mainland and free-zone entities, UAE subsidiaries, holding companies and multinational groups with transfer pricing review, benchmarking, documentation, implementation and Federal Tax Authority support.

Key UAE requirements
Which transfer pricing obligations may apply?
The arm’s-length principle, return disclosures and formal documentation thresholds are related, but they are not the same test.
Related Party and Connected Person transactions
UAE Corporate tax transfer pricing rules can apply to domestic and cross-border controlled transactions, including dealings involving mainland and free-zone entities.
Start by identifying every controlled transaction.AED 40 million aggregate
The FTA Tax Returns Guide states that the Related Party schedule is required where aggregate Related Party transactions exceed AED 40 million. Once triggered, categories exceeding AED 4 million are disclosed.
Dividends are excluded from these schedule thresholds.AED 500,000 threshold
The FTA guide describes disclosure where the relevant aggregate value with Connected Persons exceeds AED 500,000, with reporting assessed for each Connected Person together with their Related Parties.
Review payments and benefits, not only invoices.AED 200 million / AED 3.15 billion
The formal file requirement applies where UAE revenue is at least AED 200 million, or the Taxable Person is a Constituent Company of an MNE Group meeting the AED 3.15 billion consolidated-revenue threshold.
The FTA guide explains a Master File exception for UAE-headquartered non-MNE groups; Local File rules still require review.Who should review transfer pricing?
Common UAE business situations requiring closer analysis
A business can need an arm’s-length review even when it falls below the formal Master File and Local File thresholds.
UAE subsidiaries and branches of international groups
Cross-border purchases, sales, management charges, royalties, financing and guarantees should be consistent with the functions performed and risks assumed in the UAE.
UAE holding and operating groups
Domestic controlled transactions are also within the UAE transfer pricing framework. Shared services, central treasury and cost allocations need a clear commercial basis.
Free-zone and QFZP entities
Transactions with mainland, other free-zone or foreign Related Parties should be reviewed alongside the entity’s wider Corporate tax position and applicable free-zone conditions.
Businesses paying owners, directors or officers
Payments or benefits involving Connected Persons should reflect Market Value, be supported by evidence of the service or benefit, and be assessed for return disclosure.
Groups changing their operating model
New entities, restructurings, transfers of functions or intangibles, revised financing and new intercompany agreements can change where value is created and rewarded.
Businesses facing an FTA request or review
Contemporaneous transaction records, agreements, reconciliations and economic analysis make it easier to respond within the period directed by the Federal Tax Authority.

Transfer pricing benchmarking
Economic analysis built around the actual transaction.
A reliable benchmarking study begins with accurate delineation and functional analysis. Only then can we select a tested party, profit-level indicator or price comparison that reflects the transaction’s commercial reality.
- Functions, assets and risks analysis
- Commercial database searches and transparent screening
- Comparable-company or transaction review
- Arm’s-length range and outcome testing
- Method-selection rationale and sensitivity review
- Implementation guidance for invoices and year-end adjustments
Comparable Uncontrolled Price
Compares the controlled price with a comparable uncontrolled transaction.
Resale Price Method
Works back from the resale price using an appropriate gross margin.
Cost Plus Method
Applies an arm’s-length mark-up to an appropriate cost base.
Transactional Net Margin Method
Tests a net profit indicator against comparable independent companies.
Transactional Profit Split Method
Allocates combined profit where parties make unique and valuable contributions.
Controlled transactions
Common areas requiring transfer pricing analysis
The correct approach depends on the transaction, contractual terms, economically significant risks and the availability of reliable comparable data.

A practical UAE group example
How do we review a management fee between related UAE companies?
Suppose a Dubai operating company pays a free-zone sister company for management support. The licence location alone cannot establish whether the charge is arm’s length.
- 01
Confirm the service
What was delivered, who benefited, and would an independent business pay for it?
- 02
Trace the cost base
Match agreements and invoices with staff time, shared costs and allocation workings.
- 03
Test the price
Assess a comparable fee or supportable mark-up using an appropriate method.
- 04
Reconcile the outcome
Connect the conclusion to the accounts, tax return and retained evidence.
The method and reporting treatment depend on the facts.

Frequently asked questions
UAE transfer pricing FAQs
Direct answers based on current published UAE guidance. Specific facts and later legislative updates may change the result.
Ask a transfer pricing specialist →01Do UAE transfer pricing rules apply only to cross-border transactions?+
No. UAE transfer pricing rules can apply to transactions with Related Parties and Connected Persons whether the counterparty is in the UAE mainland, a free zone or another country.
02Which UAE businesses must follow the arm’s-length principle?+
Taxable Persons undertaking transactions or arrangements with Related Parties or Connected Persons must consider the arm’s-length principle. Documentation and disclosure obligations depend on the facts and applicable thresholds.
03Does a UAE company below AED 200 million revenue still need transfer pricing?+
Yes, if it has transactions or arrangements with Related Parties or Connected Persons, it still needs to consider arm’s-length pricing. AED 200 million is one trigger for formal Master File and Local File obligations, not an exemption from the arm’s-length principle. Check the separate disclosure thresholds and retain proportionate supporting records.
04When are a Master File and Local File required in the UAE?+
Under Ministerial Decision No. 97 of 2023, both are required where the Taxable Person’s revenue in the relevant Tax Period is at least AED 200 million, or where it is a Constituent Company of an MNE Group with total consolidated group revenue of at least AED 3.15 billion. The decision also specifies which transactions belong in the Local File.
05What are the UAE Corporate tax return disclosure thresholds?+
The FTA Tax Returns Guide states that the Related Party transactions schedule is triggered when aggregate transactions with all Related Parties exceed AED 40 million. Once triggered, a transaction category is disclosed when its aggregate value exceeds AED 4 million. The Connected Persons schedule applies where the relevant aggregate exceeds AED 500,000, with reporting by Connected Person as described in the guide.
06What is the difference between a Related Party and a Connected Person?+
Related Parties are persons or entities linked through relationships such as ownership, control or kinship as defined by the Corporate tax Law. Connected Persons generally include an owner, director or officer of the Taxable Person, their Related Parties, and partners in an Unincorporated Partnership. The precise legal definitions and attribution rules should be applied to the facts.
07What is the difference between a Master File and a Local File?+
A Master File gives a group-level overview of the business, organisational structure, intangibles, financing and global transfer pricing policies. A Local File focuses on the UAE entity, its material controlled transactions, functional and economic analysis, method selection and financial information. The FTA guide also describes an exception under which a UAE-headquartered group that is not an MNE Group may not need a Master File, although a Local File may still be required where the applicable threshold is met.
08What does a transfer pricing benchmarking study include?+
A study normally includes transaction delineation, functional analysis, tested-party and method selection, comparable searches, screening criteria, financial adjustments where appropriate, and calculation of an arm’s-length range or price.
09Does an intercompany or shareholder loan need a transfer pricing review?+
A loan between Related Parties may need an arm’s-length review. The terms, currency, tenor, security, borrower creditworthiness and available comparable debt can affect the rate. The FTA Transfer pricing Guide discusses shareholder loans and intra-group lending specifically; a single standard interest rate is not appropriate for every case.
10Does a director’s or owner’s salary need benchmarking?+
Potentially. Where the recipient is a Connected Person, the UAE Corporate tax rules generally restrict deduction to the market value of services provided and amounts incurred wholly and exclusively for the business, subject to statutory exceptions. Review the role, responsibilities, evidence and comparable remuneration before deciding whether a salary benchmark is needed.
11How often should transfer pricing documentation be updated?+
The underlying facts and pricing results should be monitored each year. Update the policy, functional analysis or benchmark when the business model, transaction, parties, market conditions or available comparable data change materially.
12How quickly must transfer pricing information be provided to the FTA?+
The FTA Transfer pricing Guide states that a Master File and Local File may be requested within 30 days, unless the FTA agrees a longer period. A Taxable Person below the formal file thresholds should still maintain reasonable records supporting the arm’s-length nature of controlled transactions, which may also be requested within 30 days or another date directed by the FTA.
13Do Qualifying Free Zone Persons need transfer pricing support?+
Free zone status does not remove the need to consider the arm’s-length principle. Related-party pricing can also affect the Corporate tax position and should be reviewed alongside the conditions applicable to the free zone entity.
14How much do transfer pricing services cost, and how long do they take?+
There is no single fee or timeline for every group. Scope depends on the number and type of controlled transactions, entities, quality of financial records, availability of comparables, required deliverables and deadline. We agree the scope, data requests, milestones and fees after reviewing a short brief.
15Can SAIF Chartered Accountants support a UAE Advance Pricing Agreement?+
Yes. We can assess the transaction, readiness and supporting economic analysis for a unilateral APA application and assist with the process. The FTA’s APA Guide requires a pre-filing consultation before an application; that consultation does not guarantee an agreement. The final decision remains with the Federal Tax Authority.
