Key takeaways
- A UAQ Free Trade Zone licence does not automatically establish entitlement to a 0% Corporate tax rate.
- The 2024 registration schedule was a historical transition timetable, not an annual calendar.
- Keep registration, tax returns, annual accounts and any additional procedures separately tracked.
- Use the actual business activity, transactions and tax period to assess the requirements.
Corporate tax compliance for a UAQ Free Trade Zone business starts with its legal entity, activities and tax period. The licence alone does not answer whether income qualifies for a particular treatment, which records support that position or what needs to be filed. This guide updates our May 2024 registration article while keeping its original address and publication date.
Do UAQ Free Zone companies need Corporate tax registration?
Free Zone Persons are generally required to register for Corporate tax even where they expect to qualify for a 0% rate. Check the company’s legal status and any applicable exception, then confirm the deadline using the FTA’s current registration guidance. VAT registration does not replace Corporate tax registration.
FTA Corporate tax registration service and current requirements
Keep the incorporation documents, licence, ownership and authorised-signatory details consistent with the application. Record the application reference, any FTA questions and the registration confirmation. The finance team should know who has authorised access to the tax account and who monitors correspondence.
The 2024 deadline table was a transition schedule
The earlier version of this article listed May to December 2024 dates by licence-issuance month. Those dates related to resident juridical persons existing before 1 March 2024; they are not repeated every year. Under the FTA clarification, UAE-incorporated resident juridical persons established on or after 1 March 2024 generally have three months from incorporation, establishment or recognition to apply. Different categories need their own assessment.
FTA clarification on Corporate tax registration timelines
If registration is overdue, establish the original deadline and current account status promptly. Do not assume that a later licence renewal resets the clock. Check any applicable relief against its actual conditions rather than treating a waiver as automatic.
Is all UAQ Free Zone income taxed at 0%?
No. Assess whether the company qualifies as a Qualifying Free Zone Person and how the rules apply to its income. Maintain evidence for the activities, customers, transactions and other applicable conditions. A company outside that regime needs analysis under the ordinary Corporate tax rules; a free-zone address alone is not an exemption.
For a practical review, start with a revenue breakdown by activity and customer type. Identify related-party transactions and income streams that need closer examination. Reconcile that analysis to the ledger and preserve the contracts and evidence supporting the conclusion. Revisit the assessment when the business model changes.

When are audited financial statements needed?
Ministerial Decision No. 84 of 2025 requires audited financial statements for QFZPs for tax periods beginning on or after 1 January 2025. It also covers taxable persons outside Tax Groups with revenue exceeding AED 50 million and separate special-purpose requirements for Tax Groups. Check the relevant category and period instead of applying a single threshold to every business.
Official audited financial statements decision
Tax-related audit obligations and the UAQ company-reporting requirements should be assessed separately. Plan accounts preparation early enough for the required audit work and approvals. A financial audit does not by itself certify the company’s tax eligibility.
Distribution businesses: check the additional 2026 procedures
FTA Decision No. 6 of 2026 applies to relevant QFZPs distributing goods or materials in or from a Designated Zone, for tax periods starting on or after 1 January 2026. It requires an agreed-upon procedures report addressing customer-resale and relevant import evidence. This is an additional reporting assignment, not another name for the annual audit.
FTA Decision No. 6 of 2026 — scope and procedures
Discuss applicability before the records are needed. Identify customer documentation, transaction evidence and relevant customs or logistics records. The appointed auditor should determine the required procedures from the decision; a generic reseller declaration alone is not a complete compliance file.
Build a tax file that reconciles to the accounts
- Keep the final trial balance, financial statements and approved adjustments together.
- Document tax adjustments and explain differences from accounting profit.
- Retain the analysis supporting free-zone status and the treatment of income.
- Support related-party charges with agreements, commercial evidence and appropriate pricing analysis.
- Keep VAT and Corporate tax calculations distinct, with clear reconciliations where figures overlap.
- Track submission references, management approval and any subsequent correspondence.
Software such as Zoho Books, Xero or ERPNext can help organise transactions and reports, but configuration and record quality matter. Using a particular system is not proof that a return or tax position is correct. Agree responsibility for reviewing the data and approving the submission.
How SAIF Chartered Accountants can help
We can assess registration support, accounts preparation, annual audit, QFZP analysis and tax-return work as defined services. The initial review should establish the company’s status, record quality, tax period and outstanding deadlines, followed by a written scope. Any accounting and audit combination requires an independence assessment.

Frequently asked questions
Does a free-zone licence remove the need to register?
Not generally. Assess Corporate tax registration separately from the rate that may apply to income, and check the FTA requirements for the legal entity.
Can I use the old 2024 registration dates this year?
No. Those dates were a transition timetable. Check the deadline that applies to the incorporation date and taxpayer category.
Is the audit report a tax return?
No. The financial statements and audit may support the tax file, but the return, computations and submission are separate.
Do I need a new report for distribution activities?
Relevant QFZPs should assess FTA Decision No. 6 of 2026 for tax periods starting on or after 1 January 2026. Its agreed-upon procedures report is distinct from the financial statement audit.
