Key takeaways
- ESR notifications and reports are no longer required for financial years ending after 31 December 2022.
- Earlier-period obligations, authority information requests and FTA penalties may still require attention.
- The ESR change does not remove separate Corporate Tax or Qualifying Free Zone Person requirements.
The UAE changed its Economic Substance Regulations (ESR) reporting position in 2024. Under Cabinet Decision No. 98 of 2024, companies are no longer required to submit ESR notifications or reports for financial years ending after 31 December 2022. That change does not erase an earlier financial year, a past authority request or a penalty already imposed. The period under review is therefore the first question to establish.
What changed under the 2024 ESR decision?
The Ministry of Finance announced that notification and reporting requirements cease for financial years ending after 31 December 2022. An older notice about a 2020 or 2021 DMCC or DAFZA filing deadline should not be used as a calendar for a later financial year. Equally, the 2024 amendment should not be read as permission to ignore correspondence about a year to which the former requirements applied.
The primary explanation is the Ministry of Finance announcement on the ESR amendment. It expressly distinguishes later-year filing relief from earlier-period responsibilities.
Do earlier ESR periods still matter?
Yes. The Ministry says companies remain responsible for compliance obligations for prior years, for responding to information or amendment requests from a regulatory authority or the Federal Tax Authority, and for paying penalties imposed by the FTA. There is no general waiver of all pre-2023 penalties. A business should identify the exact entity, relevant activity, financial year and status of each prior submission or authority query before deciding that an ESR matter is closed.
A practical legacy-period file may include the licence and activity assessment, financial statements, relevant-income analysis, any notification or report filed, supporting records, portal acknowledgements and authority correspondence. Keep the responsible person and any response deadline visible. Missing records or an unresolved penalty should be examined on its own facts rather than inferred from a later policy announcement.
Does ESR still apply to a DMCC or DAFZA company?
A free-zone licence did not, by itself, determine whether an entity had an ESR filing obligation for an earlier year; the entity’s relevant activity and the rules for that period mattered. The 2024 amendment applies to the later financial years described above, including free-zone companies. DMCC and DAFZA businesses with an outstanding older notice, report, query or penalty should review the exact year and communication instead of relying on a generic free-zone deadline article.
Is ESR the same as Corporate tax substance?
No. Ending ESR notifications and reports for later years does not remove UAE Corporate tax registration, return, transfer-pricing or free-zone conditions where they apply. In particular, a Qualifying Free Zone Person has its own adequate-substance and other eligibility tests. An ESR status or earlier filing should not be presented as proof that a company automatically qualifies for the 0% Corporate tax treatment.
For that separate issue, see our Qualifying Free Zone Person assessment guide.
What should a business do now?
- List the entity and each financial year for which an ESR notification or report was previously considered.
- Check whether an earlier-period submission, FTA query, amendment request or penalty remains unresolved.
- Keep the supporting records and correspondence for the periods still in question.
- Review Corporate tax and free-zone obligations separately; do not substitute an ESR conclusion for those tests.
If you received a prior-year ESR notice or are uncertain whether a particular financial year is affected, share the notice, year-end, licences and previous filings through a secure channel. SAIF can help organise the facts and identify the appropriate specialist review. The official Ministry of Finance guidance should control over an old deadline announcement.

Frequently asked questions
Do UAE companies still submit ESR notifications?
Not for financial years ending after 31 December 2022, following Cabinet Decision No. 98 of 2024. Prior-year matters and authority requests should be reviewed separately.
Were all earlier ESR penalties cancelled?
No. The Ministry of Finance says companies remain responsible for prior-year compliance and for paying penalties imposed by the FTA. Check the exact period and decision before assuming a penalty no longer applies.
Does the change also cover free-zone businesses?
The later-year cessation applies to companies generally, including free-zone entities. An earlier DMCC or DAFZA year may still require review if there is an outstanding filing, query or penalty.
Does an ESR exemption prove a company qualifies for 0% Corporate Tax?
No. The Qualifying Free Zone Person regime has separate adequate-substance, income and other conditions under Corporate tax.
